2. Description of Service

VibeShipping is an AI-powered platform that helps users design physical products, source manufacturers, and manage production and shipping. The Service includes:

• AI-assisted product design and specification generation.
• Supplier sourcing and price negotiation.
• Manufacturing management and quality assurance.
• Global shipping and logistics coordination.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain and promptly update your account information.
• Keep your password secure and confidential.
• Accept responsibility for all activity under your account.
• Notify us immediately of any unauthorized access to your account.

You must be at least 16 years old to create an account. By creating an account, you represent that you meet this age requirement.

4. User Content & Intellectual Property

4.1 Your content

You retain ownership of all content you submit to the Service, including product descriptions, images, designs, and specifications ("User Content"). By submitting User Content, you grant us a limited, non-exclusive license to use, process, and display it solely to provide the Service to you (e.g., generating specifications, communicating with manufacturers).

4.2 AI-generated content

Product designs, renders, and specifications generated by our AI tools are provided for your use. You are responsible for reviewing AI-generated content for accuracy before it is sent to manufacturing. We do not guarantee that AI-generated content is free from errors.

4.3 Our intellectual property

The Service, including its software, branding, design, and documentation, is owned by VibeShipping and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

5. Orders, Payments & Refunds

5.1 Pricing

All pricing for manufacturing and shipping is provided as quotes and may vary based on materials, quantities, complexity, and supplier availability. Prices are confirmed before you commit to an order.

5.2 Payments

Payments are processed securely through Stripe. By placing an order, you authorize us to charge the payment method on file. You are responsible for any applicable taxes.

5.3 Refunds & cancellations

Refund eligibility depends on the stage of production. Orders may be cancelled with a full refund before manufacturing begins. Once production has started, refunds may be partial or unavailable depending on costs already incurred. We will communicate refund options clearly at each stage.

6. Manufacturing & Shipping

We act as an intermediary between you and third-party manufacturing suppliers. While we vet suppliers and conduct quality checks, we do not directly manufacture products. Shipping timelines are estimates and may vary due to production schedules, customs processing, or logistics factors outside our control.

We will keep you informed of order progress and promptly communicate any significant delays or issues.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Infringe on the intellectual property rights of others.
• Design or manufacture products that are illegal, dangerous, or regulated without proper authorization.
• Submit fraudulent orders or payment information.
• Attempt to gain unauthorized access to the Service or its systems.
• Use the Service to compete directly with VibeShipping.
• Abuse, harass, or harm other users or our staff.

We reserve the right to suspend or terminate accounts that violate these rules.

8. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated designs will be suitable for your intended use without review and modification.

9. Limitation of Liability

To the maximum extent permitted by law, VibeShipping and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless VibeShipping from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

You may delete your account at any time. We may suspend or terminate your account if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will remain in effect.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
